Partnership Declaration

As a small and medium-sized enterprise that supports the packaging industry through the design and manufacture of dies for paper containers, we strive to build mutual prosperity across the entire supply chain and to create new forms of collaboration.
We declare the following policies for building strong partnerships.
1. Enhancing added value across the supply chain and growing together with our partners
We will leverage the die-manufacturing expertise we have cultivated over many years to actively share technology with our partners and propose improvements that raise product value.
We will regularly hold discussions with ordering parties and partner companies to share on-site issues, make improvements, and build stable relationships.
2. Compliance with the Promotion Standards
We comply with the desirable trade practices between prime contractors and subcontractors defined in the Act on the Promotion of Subcontracting Small and Medium-sized Enterprises and work to correct business customs that hinder partnership building with our suppliers.
We also respect the intent of the following items to ensure fair transactions even outside subcontracting relationships when bargaining power differs.
1) Pricing method: We do not make unreasonable requests for cost reductions. When determining consideration, we hold discussions with subcontractors at least once a year so that appropriate profits are secured and working conditions can improve.
We make pricing decisions after taking the actions set out in the "Guidelines for Price Negotiations to Appropriately Reflect Labor Costs."
When material or energy costs rise, we aim to pass on the full amount of the increase.
We clearly present contract terms in writing when concluding agreements, including the determination of consideration.
2) Die management and disposal costs: We use standard contract templates to govern die transactions, promote the disposal of unnecessary dies, and do not ask subcontractors to store or dispose of dies free of charge.
3) Payment terms: We pay subcontracting fees in cash whenever possible. If payment is made by note, subcontractors will not bear discount fees, and we endeavor to keep the payment period within 60 days.
4) Intellectual property and know-how: In line with the "Guidelines on Intellectual Property Transactions," we do not demand one-sided non-disclosure agreements, require the disclosure of know-how, or seek the free transfer of intellectual property rights by exploiting our position.
5) Avoiding undue burdens from workstyle reform: To help our partners respond to workstyle reforms, we do not place orders with unreasonably short lead times or request sudden specification changes without bearing appropriate costs. In times of disaster, we avoid imposing unilateral burdens, and when operations resume, we strive to maintain business relationships as much as possible.
3. Building new partnerships
- We will collaborate with local companies in other industries and with startups to develop die technologies that can be applied beyond paper containers.
- To foster young talent and pass on skills, we will explore partnerships with local high schools and other institutions, contributing to strengthening the region's industrial foundation.
- Through open and transparent transactions, we aim to build partnerships that create win-win relationships.

Kuroiwa Co., Ltd. (the "Company") recognizes that protecting personal information is an important social responsibility and will handle and safeguard such information appropriately based on the following policy.
1. Compliance with laws and regulations
The Company complies with the Act on the Protection of Personal Information and related laws, regulations, and guidelines when handling personal information.
2. Acquisition and use of personal information
The Company acquires personal information by lawful and fair means after clarifying the purpose of use, and uses it within the scope of that purpose.
3. Provision of personal information to third parties
Except as required by law, the Company will not provide personal information to third parties without the individual's consent.
4. Security control measures
The Company takes necessary and appropriate measures to prevent the leakage, loss, or damage of personal information and to ensure proper management.
5. Supervision of contractors
When the Company outsources the handling of personal information, it exercises appropriate supervision over the contractor.
6. Continuous improvement and employee education
The Company maintains an internal framework for personal information protection and strives for continual review and improvement.
It also provides appropriate education to employees on the handling of personal information.
7. Responding to requests for disclosure, correction, or suspension of use
The Company responds appropriately and in accordance with laws and regulations to requests from individuals for the disclosure, correction, or suspension of use of their personal information.

Anti-Social Forces Exclusion Policy

Chapter 1 General Provisions
(Purpose)
Article 1 This regulation establishes the basic matters necessary for Kuroiwa Co., Ltd. (the "Company") to cut off relationships with antisocial forces and fulfill its social responsibilities as a business.
(Definitions)
Article 2 In this regulation, "antisocial forces" refers to organized crime groups, companies affiliated with such groups, corporate racketeers, politically or ideologically motivated extortionists, organized crime syndicates, and other similar entities.

Chapter 2 Basic Policy
(Principle of severing relationships)
Article 3 The Company will sever all relationships with antisocial forces and will not engage in any transactions with them.
(Response to unjust demands)
Article 4 The Company will refuse all unjust demands from antisocial forces and respond firmly.
(Prohibition of providing funds)
Article 5 The Company will not provide funds or conveniences to antisocial forces under any circumstances.

Chapter 3 Response Framework
(Responsible department)
Article 6 The department responsible for compliance shall take the lead in responding to antisocial forces.
(Cooperation with external organizations)
Article 7 The Company will cooperate with external specialist organizations such as the police, Centers for the Elimination of Organized Crime Groups, and attorneys to ensure appropriate responses.

Chapter 4 Transaction Management
(Confirmation at the start of transactions)
Article 8 When entering into contracts with new business partners, the Company will confirm whether they have any ties to antisocial forces and obtain written assurances where necessary.
(Ongoing confirmation)
Article 9 The Company will periodically confirm whether existing business partners have any ties to antisocial forces.
(Contract clauses)
Article 10 Contracts shall include clauses concerning the elimination of antisocial forces, and must specify the following three points:
(1) If the assurance in Article 8 is found to be false, the Company may terminate the contract at its discretion.
(2) If the counterparty is determined to be an antisocial force, the Company may terminate the contract at its discretion.
(3) If the counterparty engages in violent or unreasonable demands beyond legal responsibility and the Company deems the contract unsustainable, the Company may terminate the contract at its discretion.

Chapter 5 Reporting and Consultation
(Reporting channel)
Article 11 Information regarding antisocial forces or suspicious transactions shall be reported to the internal reporting channel below.
Depending on the situation, reports may also be made to the compliance hotline of Japan Succession Partners (JSK).

Chapter 6 Education and Training
(Implementation of education)
Article 12 The Company will provide regular education and training to executives and employees regarding antisocial forces to raise awareness.

Chapter 7 Response to Violations
(Disciplinary action)
Article 13 Executives and employees who violate this regulation may be subject to disciplinary action under the work rules.
